General Terms and Conditions of Sale and Delivery

1. offer
Unless otherwise agreed in writing, our offers are binding within the written validity period. All orders and changes require our written confirmation.

2. prices
Our prices are in CHF and do not include VAT. Up to a minimum order value of CHF 250 (excluding VAT), the minimum order value surcharge is CHF 50. Repairs are excluded from this.

3. delivery
The obligation to deliver exists only on the basis of our order confirmation. Circumstances and events for which we are not responsible as well as all cases of force majeure and other events independent of our will or that of our suppliers shall release us from the obligation to make partial or complete delivery. Claims for damages due to delay or non-delivery are excluded to the extent permitted by law.

4. shipping / transportation
The following deliveries are always made at the expense and risk of the buyer:

▪ To resellers
▪ Express delivery requested by the customer
▪ Abroad

Unless otherwise specified or agreed, we deliver by the cheapest route.

5. payment
Unless other terms of payment have been agreed, our invoices are payable without deduction within 30 days of the invoice date. Special terms of payment require a written order confirmation. Checks of any kind are not accepted as a means of payment.

6. notices of defects

The buyer must inspect the goods immediately upon receipt. Complaints and recognizable defects must be reported in writing within 8 days. If the complaint is justified and made in good time, the buyer may, at his discretion, demand either a replacement delivery or a price reduction. If the buyer fails to notify us or if he uses, mixes, refills or sells the goods, this shall be deemed as unconditional approval.

7. return of goods
Before returning devices including accessories, written consent for the return must be obtained from ewimed Switzerland AG. In the case of consumables, spare parts and small items, consent by telephone is sufficient. Devices and consumables can only be returned in undamaged original packaging. After a successful incoming goods inspection for returned products, an expense allowance of CHF 100 will be charged in any case and an additional depreciation fee may be charged for electronic devices. Custom-made products cannot be returned under any circumstances.

8. warranty
The warranty is generally excluded. After delivery of the products to the customer, warranty claims for defective products can only be asserted within the limitation period of the respective manufacturer. The limitation period can be found in the delivery documents. Product defects will be rectified by replacement or repair.

9. performance characteristics and intended use
All information on the performance characteristics, intended use and maintenance of the products supplied can be found in the instructions for use. They form an integral part of the delivery (in printed or electronic form). We reserve the right to make changes to the product as a result of normative or legal requirements and in the context of further technical development.

10. retention of title
The goods shall remain our unrestricted property until full payment of all liabilities arising from the business relationship with us,

11. place of jurisdiction and place of performance
The place of performance for deliveries and payments is CH-3018 Bern. The place of jurisdiction for both parties is CH-3018 Bern. In general, the Swiss Code of Obligations applies.

12. final provisions
Any provisions deviating from the above Terms and Conditions of Sale and Delivery shall only be valid if confirmed by us in writing.
